1. SWEEPSTAKES PERIOD:
The Screening Room Community Monthly Prize Draw (the "Sweepstakes") begins x May 2017 at 00:00:01 UK local time and ends on 31st March 2018 at 23:59:59 UK local time (the "Sweepstakes Period"). The Sweepstakes is split into twelve (12) calendar months (each, a "Month" and collectively the "Months") - with each Month beginning on the first calendar day of the applicable Month at 00:00:01 UK local time and ending on the last calendar day of the applicable Month at 23:59:59 UK local time.
THIS SWEEPSTAKES IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF AND RESIDING IN THE UNITED KINGDOM AND WHO ARE AT LEAST 18 YEARS OLD AT THE TIME OF ENTRY. Sweepstakes may only be entered from and within eligible jurisdictions. Employees and agents ofColumbia Pictures Corporation Limited (the "Sponsor"), Toluna UK Ltd. (the " Administrator") its parent or subsidiaries and each of their respective affiliates, subsidiaries, successors, assigns and any entity involved in the development, production, implementation, administration, judging or fulfilment of the Sweepstakes (collectively, the "Sweepstakes Parties"), and the immediate family members and/or those persons living in the same household of such individuals, are not eligible to participate or win a prize in this Sweepstakes. For the purposes of this Sweepstakes, immediate family is defined as spouse, partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren.
3. HOW TO ENTER:
Entries to the Sweepstakes are only done online.
Any time a participant is invited by Sponsor and successfully completes a survey or makes a minimum of two comments in the discussion forums during the Sweepstakes Period ("participant") he/she will automatically earn an entry into the Sweepstakes. If during the same Sweepstake Period, participants make 5 or 10+ comments they will earn two (2) and three (3) entries, respectively.
4. ENTRY LIMIT:
There is a limit of one entry per completed survey and one entry per two comments in a discussion forum. However, some surveys will be rewarded with two (2) entries in the prize draw. These are at the discretion of the Sponsor and participant will be notified of this after completing the surveys. Additionally, 5 comments in the discussion forum will be rewarded two (2) entries and more than ten (10+) comments in the discussion forum will be rewarded three (3) entries. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) obtain more entries than permitted; and/or (ii) use multiple names, identities, email addresses, and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Sweepstakes; then he/she may be disqualified from the Sweepstakes in the sole and absolute discretion of the Sponsor. The Sponsor is not responsible for late, lost, misdirected, delayed, incomplete or incompatible entries (all of which are void). No third party entry or entry through a sweepstakes service is permitted.
5. RIGHT TO VERIFY:
All entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor - including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual's eligibility to participate in this Sweepstakes; (ii) for the purposes of verifying the eligibility and/or legitimacy of an entry entered (or purportedly entered) for the purposes of this Sweepstakes; and/or (iii) for any other reason the Sponsor reasonably deems necessary for the purposes of administering this Sweepstakes in accordance with these Official Rules. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification.
6. THE PRIZES:
Each Month during the Sweepstakes Period, there will be 3 Prizes (each, a "Prize" and collectively, the "Prizes") available to be won. There will be 3 Prizes per month available to be won during the Sweepstakes Period. Prizes consists of 1 X £100 and 2 X £50 gift cards. Gift cards will be subject to all of the terms and conditions of the issuer and will be awarded in the currency based on the jurisdiction of each confirmed winner.
Each Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion). No substitutions except at Sponsor's option. If winner does not accept or use the entire Prize (as awarded), the unaccepted or unused part of the Prize will be forfeited and Sponsor will have no further obligation with respect to that Prize or portion of the Prize. Sponsor is not responsible for and winner will not receive the difference between the actual value of the Prize at the time of award and the stated ARV in these Official Rules or any Sweepstakes-related materials. Prize winner will be solely responsible for all local taxes, and for any other fees or costs associated with the Prize he/she receives.
Nothing in these Official Rules limits or excludes liability for death or personal injury caused by a party's negligence, or for any other liability that may not lawfully be limited.
7. WINNER SELECTION PROCESS:
On the first business day following the end of each Month (each, a "Draw Date"), 3 eligible entrant(s) will be selected by random draw from among all eligible entries submitted and received to date during the Sweepstakes Period in accordance with these Official Rules by the close of the Month immediately preceding the applicable Draw Date. The odds of winning depend on the number of eligible entries submitted and received during the Month in accordance with these Official Rules. Non winning entries do not carry over into future Months.
8. WINNER NOTIFICATION PROCESS:
After each Draw Date, the Sponsor or its designated representative will make a minimum of two (2) attempts to contact each selected entrant within ten (10) calendar days of the applicable Draw Date. If a selected entrant cannot be contacted within ten (10) calendar days of the applicable Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible entries that were eligible for the same draw (in which case the foregoing provisions of this section shall apply to such newly selected entrant).
9. GENERAL CONDITIONS:
Winners may be required to participate in publicity related to the Sweepstakes which may include the publication of their name and photograph in any media.
Personal data supplied during the course of the Sweepstake Period may be passed to third party suppliers only insofar as required for the fulfilment delivery and/or arrangement of the Prize.
The decisions of the Sponsor with respect to all aspects of this Sweepstakes are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entries and/or entrants.
The Sponsor will not be liable for: (i) any failure of the Website during the Sweepstakes; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any entry or other information to be received, captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; and/or (iv) any combination of the above.
Any automated computer receipt (such as a "thank you" message or one confirming delivery of entry) does not constitute proof of actual receipt by Sponsor of an entry for purposes of these Official Rules.
In the event of a dispute regarding who submitted an entry, entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of signing up for the Panel. "Authorized account holder" is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor - including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the entry in question.
ANYONE DETERMINED TO BE IN VIOLATION OF THESE OFFICIAL RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.
The Sponsor reserves the right to withdraw, amend or suspend this Sweepstakes (or to amend these Official Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Sweepstakes as contemplated by these Official Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Sweepstakes in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor, reserves the right to cancel, amend or suspend this Sweepstakes, or to amend these Official Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any reason beyond the Sponsor's control. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.
The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Official Rules, to the extent necessary, for purposes of verifying compliance by any entrant or entry with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the reasonable opinion of the Sponsor, affect the proper administration of the Sweepstakes as contemplated in these Official Rules.
In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and disclosures or other statements contained in any Sweepstakes-related materials, including, but not limited to: the entry form, Website, translated version of these Official Rules, and/or point of sale, television, print or online advertising; the terms and conditions of these English Official Rules shall prevail, govern and control to the fullest extent permitted by law.
10. Applicable Law and Exclusive Forum
The validity, construction, performance and enforcement of these Terms and Conditions (and any claim, dispute or matter arising under or in connection with it or its enforceability) and any non-contractual obligations out of or in connection with it shall be governed by and construed in accordance with the law of England and Wales. Any dispute shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration as in force from time to time, which Rules are deemed to be incorporated by reference into this section. For the purpose of any such arbitration: (a) the number of arbitrators shall be one, who shall be a retired judge with at least 10 years' experience in commercial matters (the parties shall discuss in good faith and shall use reasonable endeavours to agree a joint nomination within ten (10) days after submission of the request for arbitration); (b) the seat, or legal place, of arbitration shall be London, England; and (c) the language to be used in the arbitral proceedings shall be English. The parties hereby waive any rights of application to the English courts for determination of a point of law under section 45 of the United Kingdom Arbitration Act 1996. The arbitrator shall have the power to grant interim and permanent injunctions and other interim measures of relief which the arbitrator may in his or her discretion consider necessary. Neither party shall be entitled or permitted to commence or maintain any action in any court with respect to any matter in dispute until such matter shall have been submitted to arbitration as herein provided and then only for the enforcement of the arbitrator's award; provided, however, that prior to the appointment of the arbitrator or for remedies beyond the jurisdiction of the arbitrator, either party may seek interim relief in the High Court of Justice of England and Wales, or, if sought by us, such other court as may have jurisdiction over you in addition to the High Court of Justice of England and Wales, without us waiving its right to have any such dispute resolved by arbitration; provided further, however, that the losing party shall have fifteen (15) business days after the issuance of the arbitrator's decision to fully comply with such decision, after which the prevailing party may enforce such decision by a petition to the High Court of Justice of England and Wales, or, if sought by us, such other court as may have jurisdiction over you in addition to the High Court of Justice of England and Wales, which may be made ex parte, for confirmation and enforcement of the award. The arbitration shall be conducted in complete confidence. The fact that there is a dispute between the parties that is the subject of an arbitration shall be confidential to the same extent. The parties undertake not to disclose details of the dispute or of the arbitration except to their professional advisers, and shall procure that their professional advisers do not disclose such details. The parties shall keep confidential and not use for any collateral or ulterior purpose all documents and materials relating to the dispute, produced for, or arising in relation to, the arbitration except: so far as is necessary to implement and enforce any agreement in writing settling a dispute; as required by court order; or otherwise as required by law. Notwithstanding anything to the contrary herein, you hereby irrevocably waive any right or remedy to seek and/or obtain injunctive or other equitable relief or any order with respect to, and/or to enjoin or restrain or otherwise impair in any manner, the production, distribution, exhibition or other exploitation of any motion picture, production or project related to Columbia Pictures Corporation Limited or its affiliates, its parents, subsidiaries and affiliates, or the use, publication or dissemination of any advertising in connection with such motion picture, production or project.
